Ghoreishi follows Grub/New Management Board appointed

Kornwestheim/Karlsruhe. At its meeting in Kornwestheim today, the Supervisory Board of Salamander AG unanimously appointed Dr. Amir Ghoreishi (40) the successor to Dr. Volker Grub (66) as the CEO of the company with immediate effect. Ms. Helge Hentschel (35) and Dr. Andreas Fey (37) were also appointed to the Management Board of Salamander AG with immediate effect. Andreas R. Budde (56) and Dr. Grub are withdrawing from the Management Board of the company with immediate effect at their own request and by mutual agreement. Management Board member Hermann Hoste (62) will withdraw from the Board on March 31, 2004 as planned and will be freed from his duties from the beginning of 2004 up to this date.

By mutual agreement and in accordance with the wishes of Dr. Grub and Mr. Budde, the Supervisory Board of Salamander AG decided that the period in office of the two members of the Management Board will end with today's Supervisory Board meeting. Dr. Grub was appointed CEO of the company in January 2003. From the outset, the intention was that he should speedily implement a restructuring programme at the company and sell off the main elements of the Salamander Group with the aim of concluding these activities by the end of 2003. Following the sale of 12 companies, in particular the entire footwear division, the advanced preparations for the sale of APCOA and Gegenbauer Bosse, and the start of restructuring of Salamander's industrial business activities, Dr. Grub's mission is complete. Like Dr. Grub, Mr. Budde, who implemented and bore responsibility for the aforementioned measures together with Grub, will in future once again devote his energy to his own business interests. The Supervisory Board would like to thank both gentlemen for their exemplary efforts and commitment in the interests of the company.

All three newly appointed members of the Management Board will also perform key management functions at the headquarters of the EnBW Group in Karlsruhe. This pooling of responsibility is designed to create the closest possible linkage between Salamander AG and its parent, EnBW Energie Baden-Württemberg AG, and to ensure that Salamander AG can make efficient use of the available resources in the professional handling of the tasks that still need to be tackled. These include the sale of APCOA, Gegenbauer Bosse, Melvo and the properties as well as the restructuring plan and the sale of the Industry division. In this connection, the Supervisory Board of Salamander AG made a number of target-oriented decisions relating to APCOA, Gegenbauer Bosse and Melvo at today's meeting.

Dr. Amir Ghoreishi, the new CEO of Salamander AG, possesses wide-ranging experience in the fields of restructuring and M&A. After working for many years as a corporate consultant and a partner at the highly respected Roland Berger & Partner consulting company, he was appointed Authorised Representative of the EnBW Group for M&A on September 1, 2003 and is also responsible for the entire disinvestment programme for the Group.

Ms. Helge Hentschel has been Head of Group Auditing at EnBW in Karlsruhe since June 1, 2003. Prior to this, she was employed in various management positions at Sartorius AG in Göttingen, where she was Head of Personnel and a member of the central management team. Ms. Hentschel has also authored various papers on economics subjects.

Dr. Andreas Fey was appointed Head of Group Controlling at EnBW on September 15, 2003. Previous to this posting, he worked for many years at the Thyssen Krupp Group, where he was most recently responsible for corporate development.

The Supervisory Board of Salamander AG believes that the appointment of a new generation of executives to lead the company and the complementary expertise and experience of the new Management Bard members will pave the way for the speedy, successful and future-oriented completion of the work begun by Dr. Grub and his team.
