On 5 August 2002 Energie Baden-Württemberg Aktiengesellschaft acquired 50.10% of the voting rights of ZEAG Zementwerk Lauffen - Elektrizitätswerk Heilbronn Aktiengesellschaft, Heilbronn, and thus acquired control over ZEAG Zementwerk Lauffen - Elektrizitätswerk Heilbronn Aktiengesellschaft pursuant to Section 29 para. 2 WpÜG. As of 5 August 2002, Energie Baden-Württemberg Aktiengesellschaft holds an aggregate of 62.22% of the voting rights of ZEAG Zementwerk Lauffen - Elektrizitätswerk Heilbronn Aktiengesellschaft. Pursuant to Section 35 para. 2 sentence 1 WpÜG, Energie Baden-Württemberg Aktiengesellschaft is obliged to make a mandatory offer because it has gained such control.
The offer and its acceptance are exclusively governed by the provisions of the offering memorandum which will be published on the website https://www.enbw.com/zeag-angebot. Such publication may only be made with the permission by the German Federal Financial Services Supervisory Authority or upon expiry of the statutory examination period without prohibition of the offer by the Federal Financial Services Supervisory Authority.
